Karthyaeni Vittala

Karthyaeni Vittala is a Corporate Partner at Preiskel & Co and is dual qualified as a solicitor of England and Wales and as an advocate in India.

Karthyaeni advises founder led and growth companies, investors and corporates on domestic and international corporate transactions, with particular experience in venture capital and private equity investments, early-stage fundraising, private M&A, corporate governance and shareholder arrangements. Her practice is focused on the technology, media and telecommunications sectors, as well as businesses operating in the food, hospitality and leisure sectors.

She also advises start up companies in the TMT sector across all stages of their early lifecycle. Her experience encompasses early stage and seed funding rounds, including investment from friends and family, shareholder loan and debt arrangements, before seeking venture capital. She also advises start ups with the preparation of their constitutional and governance documents, including shareholders’ agreements, articles of association and service contracts for directors, structuring these from the outset in a manner that positions the company for future VC investment and growth.

Karthyaeni has been recognised by Chambers and Partners, first as an Associate to Watch in the Chambers UK 2022 Guide, and, since 2023, as a ranked lawyer in Telecommunications (UK-wide). •an adtech company on its £2 million investment round from a UK venture capital investor, together with subsequent follow on investments;

•a venture capital investor on its circa £4 million investment in a food technology company ;

•a clean energy tech company in securing a circa £5 million investment from a syndicate of venture capital investors;

•an East African data centre company on its securing of a circa $50 million investment from private equity investors focused on technology infrastructure in the region;

•a leading mobile data and identity intelligence company on its £30 million investment from a UK and Ireland growth capital investor;

•early stage and seed round investments from friends and family investors in start up and other early stage company either

Mergers & Acquisitions

•a global leader in call recording and voice intelligence on its $38 million performance-based acquisition of a leading UK-based provider of call recording and PCI compliance solutions;

•the sellers of an IT consultancy agency on its £10 million sale to a UK-listed company in the financial services industry;

•the sellers of a document and information management company on its £6.5 million sale;

•the sellers of a leading finance, investment events and conferences business on its £30 million sale to a private equity company;

•a purchaser on its circa £3.5 million acquisition of a leading distributor of embedded boards, systems and software.

Venture Debt and Growth Capital

•advised early-stage companies in securing growth capital funding from banks such as Santander UK PLC, HSBC Innovation Banking.

•advised a telecoms company in securing a $20 million growth capital facility and invoice discounting facility.

She regularly contributes to the UK chapter of Chambers Technology M&A: Trends and Developments, providing commentary on legal and market developments in the sector.

She holds an LL.M. in International Commercial Law from King’s College London and graduated with First Class Distinction in law from Gujarat National Law University, India.
